AIxC to Acquire Faraday Future Robotics Unit in $200M Stock Deal
AIxC (FFR) signed a non-binding term sheet to buy Faraday Future's robotics assets in an all-stock deal valued at roughly $200 million.
AIxC, trading on Nasdaq under the ticker FFR, has entered into a non-binding term sheet to acquire the robotics assets and businesses of Faraday Future Intelligent Electric Inc. (FFAI) in an all-stock transaction valued at approximately $200 million, the companies announced.
If completed, the deal would position FFR as the first Nasdaq-listed pure-play robotics ecosystem company, according to the announcement. The all-stock structure means no cash would change hands at closing, with FFAI shareholders receiving FFR equity as consideration.

As part of the proposed transaction, the companies outlined a potential special stock dividend of $2.246 per share, which the firms described as providing a direct financial benefit to existing stockholders. The dividend component appears designed to offer immediate value to current shareholders ahead of or alongside the broader corporate restructuring.
The transaction remains subject to due diligence, definitive agreement negotiations, and customary regulatory and shareholder approvals. Non-binding term sheets carry no guarantee of a completed deal, and material terms could change substantially before any final agreement is reached.
